Terms of Service
Effective June 24, 2026
These Terms of Service (“Terms”) govern your access to and use of Backstop (the “Service”), operated by Zrionix Technology, Inc.(“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Who can use the Service
You may use the Service if you can form a binding contract with us — that is, you're at least 18 years old (or the age of majority where you live) and not barred from doing so under applicable law. If you're using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Your account
You're responsible for the activity that happens under your account, for keeping your credentials confidential, and for promptly notifying us at support@trybackstop.com if you discover unauthorized use. We may suspend or terminate accounts that we reasonably believe are being used to violate these Terms or harm us, our users, or third parties.
3. The Service in plain English
Backstop connects to your Stripe account — either through Stripe Connect (OAuth) or, if you prefer to limit access yourself, a restricted Stripe API key that you scope — and helps you (a) recover failed subscription payments through retries, customer-facing card-update pages, and dunning emails; and (b) reduce involuntary churn by routing customers through a configurable cancel flow and optional win-back links. With Stripe Connect we never receive your Stripe secret key. You can revoke our access from your Stripe Dashboard at any time, and doing so stops all activity on your account.
3a. Your Stripe connection and our authority
You authorize Backstopto act on your behalf on your connected Stripe account solely to perform the recovery and retention actions you configure: retrying invoices that have already failed, applying the save offers you set up, pausing, resuming, cancelling, or changing subscriptions at your or your customer's request, creating reactivation checkouts your customers choose to complete, and issuing hosted card-update links. Backstop does not issue refunds, create payouts, transfer funds, take application fees, or move money to itself, and it is never in the flow of your funds — charges settle to your own Stripe balance. Because the Service acts on your account at your direction and configuration, you are responsible for the actions taken through your connected account, including the offers you configure and the resulting charges, credits, and subscription changes. You also control the scope of access you grant: Stripe Connect's OAuth grant is broad, while a restricted API key lets you deny capabilities — such as refunds, payouts, and transfers — at the key itself. You are responsible for choosing the connection method and scope appropriate for you, and for revoking access when you no longer authorize it.
3b. AI assistant
The Service includes an optional AI assistant. It can answer questions about your setup and, where you give explicit per-action approval, apply a limited set of low-risk workspace settings (such as display currency, email branding, retry schedule, offer policies, notification preferences, and reactivation settings) on your behalf. It proposes each change for you to review and approve before it takes effect, and it acts only under your own account permissions — it cannot move money, change billing, alter team roles or access, delete data, publish a cancel flow, or take any action you have not approved. AI output can be imperfect; you are responsible for reviewing each proposed change before you approve it. The assistant is provided as part of the Service “as is,” subject to the disclaimers in these Terms.
4. Your data, your customers
You retain ownership of all data you submit, including data we mirror from your Stripe account (customers, subscriptions, invoices, payment events). You grant us a limited, worldwide, royalty-free license to host, process, and transmit that data solely to provide and improve the Service. We process customer personal data on your behalf as described in our Privacy Policy, including a list of the subprocessors involved (Supabase, Stripe, Resend, Amazon SES, Inngest, Vercel, Sentry). You're responsible for having the legal basis to send the recovery, reactivation, and cancel-flow emails the Service sends on your behalf, including any consent required by applicable law (CAN-SPAM, GDPR, CASL, etc.) and for honouring unsubscribe requests we surface back to you.

5. Acceptable use
You agree not to:
- use the Service to send unsolicited bulk email or content unrelated to billing;
- impersonate another person or misrepresent your affiliation;
- attempt to probe, scan, or test the vulnerability of the Service or breach any security or authentication measures;
- reverse engineer the Service or attempt to extract source code, except to the extent applicable law allows;
- use the Service to violate Stripe's terms or any other applicable third-party terms.
6. Fees and billing
Paid plans are billed monthly through Stripe Checkout. Fees are non-refundable except where required by law. We may change prices on at least 30 days' notice; if you don't accept the change you may cancel before it takes effect. The Free tier has a monthly campaign cap; once reached, new campaigns are not opened until the next calendar month or you upgrade.
7. Cancellation and termination
You can cancel your subscription at any time from the in-app billing portal — your access continues through the end of the paid period. You can also delete your workspace immediately from Settings → Danger Zone, which disconnects Stripe, abandons any in-flight recovery campaigns, and cascade-deletes downstream data. We may terminate or suspend access if you materially breach these Terms. On termination, we'll keep your data available for export for at least 30 days, after which we may delete it (except for minimal forensic records required for fraud or audit response).
8. Service availability
We aim for high availability but don't guarantee uninterrupted service. The Scale plan includes an SLA with uptime credits; other plans are provided on a best-effort basis.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL RECOVER ANY SPECIFIC AMOUNT OF FAILED PAYMENTS OR SAVE ANY SPECIFIC NUMBER OF CANCELLATIONS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to defend and indemnify us against claims arising from your use of the Service in violation of these Terms or applicable law, including claims that emails we send on your behalf were not sent with adequate consent.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts-of-law rules. The exclusive forum for disputes is the state and federal courts located in Delaware, and each party consents to that jurisdiction.
13. Changes
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after changes take effect means you accept them.
